Welcome to E-Manage Limited. Please read these Terms and Conditions ("Terms") carefully before using our website, products, and services (collectively, the "Services"). These Terms apply to all visitors, users, and clients of E-Manage Limited.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not access the Services.
1. Definitions
- "Company", "we", "our", or "us" refers to E-Manage Limited, a cybersecurity and network threat management provider.
- "You", "your", or "Client" refers to the person, company, or entity using our Services.
- "Services" refers to any cybersecurity, threat detection, incident response, managed security, consulting, or related offerings provided by E-Manage Limited.
2. Eligibility
By using our Services, you affirm that you are at least 18 years of age, or the legal age of majority in your jurisdiction, and capable of entering into a binding agreement.
3. Scope of Services
E-Manage Limited provides a range of cybersecurity and threat management services including, but not limited to:
- Network security monitoring and threat detection
- Incident response and forensics
- Vulnerability assessments and penetration testing
- Security consulting and compliance advisory
- Managed security services (MSSP)
- Firewall, IDS/IPS, and endpoint protection management
- Security Awareness Training
- Spam and Phishing prevention
The specific services provided will be outlined in individual service agreements or Statements of Work (SOW).
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for the delivery of Services.
- Cooperate with E-Manage Limited personnel during audits, investigations, or deployment.
- Maintain proper backups and disaster recovery procedures unless contracted otherwise.
- Ensure that their systems and networks are used in compliance with applicable laws and regulations.
5. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the term of the engagement, including proprietary, technical, financial, and operational data. This obligation shall survive termination of the agreement for a period of five (5) years, or as required by law.
6. Data Protection and Privacy
E-Manage Limited is committed to protecting client data. We implement appropriate administrative, technical, and physical safeguards to secure client information. Any data collected or accessed during service delivery is handled in compliance with applicable data protection laws (e.g., GDPR, UK DPA 2018, etc.).

7. Intellectual Property
All intellectual property, including software, methodologies, processes, documentation, and tools used or developed during the engagement, remains the sole property of E-Manage Limited unless explicitly transferred in writing.
Clients retain ownership of their own data and proprietary information.
8. Warranties and Disclaimers
E-Manage Limited makes commercially reasonable efforts to provide accurate and effective cybersecurity services. However, no system can be guaranteed to be 100% secure.
We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Our Services are provided "as-is" and "as-available".
9. Limitation of Liability
To the maximum extent permitted by law, E-Manage Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to the use or inability to use the Services.
Our total liability in any matter arising out of these Terms shall not exceed the total amount paid by the Client for the Services in the six (6) months preceding the event giving rise to the liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless E-Manage Limited and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable laws or third-party rights
11. Termination
Either party may terminate the Services for cause if the other party breaches any material obligation and fails to cure such breach within thirty (30) days of written notice.
Upon termination:
- All fees owed shall become immediately due and payable.
- Access to Services will be discontinued unless otherwise agreed in writing.
- Each party shall return or destroy any confidential information in their possession.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts located in England and Wales.
13. Force Majeure
E-Manage Limited shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, cyber-attacks, or failures in third-party systems.
14. Amendments
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our Services after such changes constitutes acceptance of the new Terms.
